Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Sinkron platform at sinkron.network (the "Service"), operated by Sinkron Ltd, a company incorporated in England and Wales with company number 17234988 and registered office at 20 Wenlock Road, London, England, N1 7GU ("Sinkron", "we", "us").

By creating an account or using the Service you agree to these Terms. If you don't agree, don't use the Service.

1. The Service

Sinkron is a distributed compute marketplace. The Service lets you run containerized workloads (as a "Customer") on hardware operated by independent third parties ("Providers"), or list hardware to host other people's workloads (as a Provider, or both).

We are the counterparty to your contract for the Service. You contract with us; we contract separately with Providers as hosting-capacity suppliers. Providers are not your direct counterparty for the compute service itself.

2. Eligibility & account

  • You must be at least 18 years old.
  • You must be legally able to enter into binding contracts in your jurisdiction.
  • You are responsible for the activity on your account, including by anyone you give credentials to.
  • You must keep your email verified and your authentication factors (password, 2FA) secure. Notify us promptly at security@sinkron.network if you suspect compromise.

3. Compute Credits & payments

Funds you deposit into the Service are credited to your account as "Compute Credits". Compute Credits are prepaid credit denominated in US dollars, redeemable solely to pay for compute time and related Service fees. They are not a deposit, e-money, an investment, or money held on your behalf, and they do not bear interest.

  • Deposits. We accept USDC on the Base network. Once a deposit is confirmed on-chain it is converted to Compute Credits at a 1:1 USD rate.
  • Pricing. Each Provider sets a $/CPU·hr and $/GB·hr rate. The platform takes a 10% commission from Provider earnings; the price you see is the price you pay.
  • Billing. Compute usage is metered and debited from your Compute Credit balance on a continuous basis. If your balance reaches zero, running sessions may be terminated automatically to prevent further charges.
  • Refunds. Unused Compute Credit balances may be withdrawn back to a Base-network USDC address you control, subject to anti-abuse checks. We may decline a withdrawal where there is suspected fraud, sanctioned-party involvement, or open dispute. Withdrawn amounts will not exceed the total amount you deposited.
  • Taxes. You are responsible for any taxes arising from your use of the Service in your own jurisdiction. We will provide reasonable transaction history on request.

4. Provider terms (if you list hardware)

  • You set your rates. You may change them at any time; in- flight sessions complete at the rate at the time the session started.
  • You authorise us to receive Compute Credits from Customers on your behalf and to settle your earnings, less the 10% platform commission, to your earnings wallet on the Service.
  • You are responsible for the security of the hardware you operate. You must keep the Sinkron agent installed and up to date.
  • You may withdraw earnings to a Base-network USDC address you control on demand, subject to anti-abuse checks.
  • You agree to take reasonable steps to prevent Customer workloads on your hardware from being inspected, exfiltrated, tampered with, or used outside the agreed purpose.

5. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which forms part of these Terms. Violation may result in suspension of affected workloads, suspension of your account, and termination without refund of disputed amounts.

6. Your content & intellectual property

  • You retain all rights to the container images, code, data, and configuration you submit to the Service ("Your Content").
  • You grant us a non-exclusive, royalty-free, worldwide licence to host, process, transmit, and otherwise use Your Content solely to operate the Service for you. This licence ends when you delete Your Content from your account, except where retention is required by law or for security/audit log purposes.
  • The Service, including the Sinkron name, marks, software, documentation, and APIs, is and remains our property.

7. Privacy

Our handling of personal data is described in our Privacy Policy. By using the Service you agree to that policy.

8. Service availability

We aim to provide a reliable Service but, during pre-launch and early operation, we do not commit to a specific uptime SLA. Sessions may be interrupted by Provider hardware failures, network outages, planned maintenance, or operational decisions we make to protect the Service or its users. We will use reasonable efforts to recover or reschedule affected sessions automatically.

9. Suspension & termination

  • You may close your account at any time. Doing so terminates your access to the Service. Unused Compute Credits may be withdrawn subject to section 3.
  • We may suspend or terminate your account, with or without notice, for breach of these Terms, the Acceptable Use Policy, applicable law, or where required by a competent authority.
  • On termination, sections that by their nature should survive (intellectual property, indemnity, liability, governing law, dispute resolution) will survive.

10. Warranties & disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, conditions, and representations not expressly set out in these Terms, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or secure against all attacks.

11. Limitation of liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be limited or excluded under applicable law.

Subject to the above, our total aggregate liability to you arising out of or in connection with the Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the greater of (a) the total Compute Credit deposits you made in the 12 months immediately preceding the event giving rise to the claim, or (b) £100.

We are not liable for any indirect, consequential, special, exemplary, or punitive losses, or for loss of profits, revenue, business, anticipated savings, goodwill, or data.

12. Indemnity

You agree to indemnify and hold Sinkron, its directors, officers, employees, and agents harmless against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Service in breach of these Terms or the Acceptable Use Policy, or (c) your infringement of any third party's rights.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-product notice at least 14 days before they take effect, unless the change is required to respond to a legal, regulatory, or security issue, in which case we may make it effective sooner. Continued use of the Service after the effective date is your acceptance of the new Terms.

14. Governing law & disputes

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. You and we both submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes, except that we may bring proceedings against you for breach of the Acceptable Use Policy or infringement of our intellectual property in any court of competent jurisdiction.

15. Miscellaneous

  • Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
  • No waiver. Our failure to enforce any right is not a waiver of that right.
  • Entire agreement. These Terms, together with the Privacy Policy and Acceptable Use Policy, are the entire agreement between you and Sinkron regarding the Service.
